Terms and Conditions of Purchase

Global IC Trading Group, Inc. (GICTG)
Seller acknowledges and agrees to the following Purchase Order Terms and Conditions:
Unless stated on the purchase order all product must conform to manufacturers available specification
Unless stated on the purchase order all product must be new and unused and in good condition. Product received with bent or oxidized leads, programmed, or damaged in any other way will not be accepted. All product shall be stored, packaged and handled according to JEDEC J-STD-033 and ANSI/ESD S20.20.
Unless stated on the purchase order mixed date codes within reels, tubes, etc. are not acceptable.
Unless stated on the purchase order no substitute product will be accepted. Any changes to product must be pre-approved by an authorized GICTG Representative.
Unless stated on the purchase order Seller agrees to a minimum of a 60 day warranty. Counterfeit product has no warranty limit.
GICTG reserves the right to cancel an order if shipment does not conform to the delivery method or delivery date, quantity or date codes indicated on its Purchase Order.
All product will be inspected in accordance with the IDEA STD-1010 and GICTG’s internal Sampling Plan. If product is determined by GICTG to be non-conforming product, Seller agrees to issue a return material authorization (RMA) for rejected product. Seller may be required to complete the proper quality documentation such as a SCAR. Supplier must notify GICTG of any non-conforming product shipped to GICTG and obtain GICTG approval for the disposition of any nonconforming product.
Supplier must notify GICTG or changes in product and/or process definition, changes of suppliers, change of manufacturing facility, location and obtain GICTG approval, and flow down to the supply chain the applicable requirements including customer requirements.
Seller agrees to ship all exported products with accurate and full values on all Proforma invoices, shipping documents and customs documentation as stated on the purchase order.
Seller agrees to not insure shipment. GICTG has its own insurance and an insurance binder is available upon request
Seller agrees to provide access to GICTG, its customers, and regulatory authorities to all facilities and organizations at any level of the supply chain involved in the order and to all applicable records.
Seller agrees to comply with either an off-site or on-site audit, if applicable.
Seller agrees to implement a quality management system if one does not already exist
Seller agrees to provide a certificate of conformity, test reports, or authorized release certificate, if applicable
Seller agrees to prevent the use of suspected unapproved, unapproved, and counterfeit parts
Seller is aware of their contribution to product conformity and safety and the importance of ethical behavior.
GICTG requires records to be retained for a minimum of 10 years.
Seller acknowledges that GICTG maintains data on performance indicators of their external providers, specifically on-time delivery and delivered quality.

Counterfeit Product Policy

GICTG and Seller agree and acknowledge that counterfeit product has no value. If product is determined counterfeit during GICTG’s inspection, Seller can a) agree with the findings or b) verify GICTG’s findings by contracting with an ERAI approved test laboratory for a sample quantity (no more than 5 pieces) inspection within 10 days of the notification by GICTG. If findings confirm product is counterfeit Seller shall be solely responsible for the fees incurred by the test laboratory.
GICTG reserves the right to seize and quarantine counterfeit product. Said product may be sent to the IP (Intellectual Property) holder or appropriate Federal or State authorities for analysis and possible confiscation or destruction. Seller shall reimburse GICTG the full purchase price in addition to any fines or fees incurred. No warranty period applies to counterfeit product.
GICTG has adopted the definition of “counterfeit” from AS6081 as follows: “A fraudulent part (any suspect part misrepresented to the Customer as meeting the Customer’s requirements) that has been confirmed to be a copy, imitation, or substitute that has been represented, identified, or marked as genuine, and/or altered by a source without legal right with intent to mislead, deceive, or defraud.”
